*Free phones disclosure

We can supply your Small, Medium or Large business with free phones, but certain criteria must be met. (Clause 1) Phones will be a standard class phone which will be pre-selected and chosen by SKYTOUCH Solutions which may NOT be the phones that best suits your office or use-case needs. As an alternate option, Phones can be purchased. We can privide you a menu of phones available and their costs. You may buy out, rent or finance until paid from us. (Clause 2) Free Phones require a minimum of 2 year obligation with SKYTOUCH for up to 44 extensions. 45 Extensions and above, we do ask for a 3 year obligation. (Clause 3) This disclosure from our website must be mentioned to qualify for free phones.

Terms of services and conditions

By choosing any plan, or signing ANY VoIP/Telephone Services Agreement, Proposal and Activation Form, the Customer hereby authorizes SKYTOUCH Solutions LLC to provide the Services listed herein and on any/all attachments. This digital disclosure is a sub-part and will be held bound to any Contract/Service Activation Form signed for service by any Customer.

The Agreement shall be effective on the Effective Date; the Term of the Agreement shall commence upon the later of (i) installation of the initial Service or (ii) the Effective Date of the Service Activation Form. In the event that the Customer terminates our Agreement any time after the Effective Date, but prior to the expiration of the Term, the Customer shall pay SKYTOUCH Solutions LLC all sums then due and unpaid of every month past and leading up to Contract Expiration. The Customer shall also be liable for an early termination charge equal to 50% of the last three months average MRC billing. The Customer SHALL NOT be liable for FUSF, Federal, State and Fees for every leading up to the contract expiration months, except a one time tax with the payment for termination of the MRC before taxes.. In the event customer makes changes to its services during the initial term of agreement, Customer is responsible for maintaining a minimum monthly commitment of at least 50% of the total monthly recurring charges not considering any rental charges (IF ANY).

Upon expiration of the Term, the Agreement shall renew automatically for successive renewal terms, each for a period of time equal to the original Term, unless either Party serves the other Party with written notice of such Party's intent not to renew the Agreement at least thirty (30) days prior to the expiration of the then current Term. In addition to the rates for the Services (s), Customer shall be responsible for payment of all local, state, and federal taxes, fees, and surcharges, however designated, imposed on or based upon the provision, sale or use of the Services.

All bills are due and payable upon receipt, but in no case later than thirty (30) days after the invoice date. If Customer's bill is not paid within thirty (30) days after the invoice date listed on the bill, Customer also shall pay SKYTOUCH Solutions LLC a monthly late charge amount equal to 1.5% of the unpaid balance due (or such lesser amount as is the maximum amount permitted under applicable law) or $5.00, whatever is greater.

Customer shall bear the risk of loss arising from any unauthorized or fraudulent usage of Services provided under  this Agreement to Customer. SKYTOUCH Solutions LLC reserves the  right, at  its sole discretion, to suspend or terminate the Services without advance notice due to Customer's (i) failure to pay any sum due hereunder, (ii) misuse of the Services, (iii) suspected fraud or other activity by Customer that adversely affects the Services, SKYTOUCH Solutions LLC or SKYTOUCH Solutions LLC network.

SKYTOUCH Solutions LLC reserves the right to determine, at its sole discretion, what constitutes misuse of the Services  and  Customer  agrees  that  SKYTOUCH Solutions LLC  determination  is  final and  binding on the Customer.  SKYTOUCH Solutions LLC  may  require  an  activation  fee  to  resume  a suspended account.
The  quality  of  service  provided  hereunder (this contract is bound by any paper or electronic Proposal/Agreement/Service Activation Form)  shall  be  consistent  with  common  carrier  industry  standards,  government  regulations  and  sound  business practices.

SKYTOUCH SOLUTIONS LLC MAKES NO OTHER WARRANTIES ABOUT THE SERVICE PROVIDED HEREUNDER, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL SKYTOUCH SOLUTIONS LLC BE LIABLE TO  THE  CUSTOMER  FOR  ANY  INDIRECT,  SPECIAL,  INCIDENTAL,  CONSEQUENTIAL  OR  EXEMPLARY  DAMAGES,  INCLUDING,  WITHOUT LIMITATION, DAMAGES FOR LOSS OF REVENUE, LOSS OF PROFITS, OR LOSS OF CUSTOMERS, CLIENTS OR GOODWILL ARISING  IN ANY MANNER FROM THIS AGREEMENT [WHICH IS A SUB PART OF ANY AGREEMENT/PROPOSAL/SERVICE ACTIVATION CONTRACT] AND/ OR THE PERFORMANCE OR NONPERFORMANCE HEREUNDER.

The Service Agreement shall be interpreted, construed, and enforced in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.  This  Agreement  is  subject  to  and  controlled  by  SKYTOUCH Solutions LLC  federal  and  state  tariffs  as  applicable,  and/  or  by  SKYTOUCH Solutions standard  terms  and conditions of service. Unless otherwise advised or requested, all Customers engaged in any Telephony VoIP Services, Video Chat Memberships, Text SMS Agreements, Fax Line or Fax to Email, or any SIP Line Trunks, all or any Customer will be bound by this contract at www.skytouch.org/voip-hosted-pbx-phones.html without paper, email or advisory delivery.
